Terms of Service
Last updated: June 24, 2026
1. Agreement to These Terms
These Terms of Service (the "Terms") are an agreement between Captivix, Inc. ("Captivix", "we", "us") and the customer organization that registers for or uses ATLAS (the "Service"), and the individual users acting on that organization's behalf. By creating an account, accepting an invitation into an organization, or using the Service, you agree to these Terms on your own behalf and, if you act for an organization, on its behalf — in which case you represent that you have authority to bind it.
If you do not agree to these Terms, do not use the Service. Use of the Service is also subject to our Privacy Policy.
2. The Service
ATLAS is a multi-tenant, AI-powered revenue platform. Depending on your plan and configuration, it includes: CRM (leads, contacts, accounts, opportunities), outbound email sequences and campaigns, an email inbox, calendar and meeting scheduling (including public booking pages and external calendar sync), AI-assisted research, scoring, and content generation, AI phone calling, social media publishing, website visitor analytics, a knowledge base, project management, supplier management, a website designer with deployment, and billing/usage administration.
We may improve, add, or remove features over time. Where a change materially reduces the core functionality your plan includes, we will provide reasonable notice.
3. Accounts and Organizations
- You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account.
- The Service is organized around organizations. Organization owners and administrators control membership, roles, permissions, integrations, and data within their organization, and are responsible for the actions of their users.
- Each organization's data is isolated from other organizations, as described in the Privacy Policy.
- You must be at least 18 years old and able to form a binding contract. The Service is for business use, not personal or household use.
4. Customer Data: Ownership and License
"Customer Data" means data your organization submits to or generates in the Service — CRM records, communications, files, recordings, analytics, and similar content. As between the parties, your organization owns its Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service, as described in the Privacy Policy.
You are responsible for the accuracy and lawfulness of Customer Data, including having a lawful basis to store and use the personal information of the leads, contacts, meeting attendees, and website visitors your organization processes through the Service.
5. Acceptable Use
You and your organization agree not to:
- Violate any law, including data-protection, telemarketing, and anti-spam laws (CAN-SPAM, TCPA, GDPR/ePrivacy, CASL, and their equivalents);
- Use the Service to send unsolicited bulk email or messages in violation of applicable law, send email without a functioning unsubscribe mechanism, falsify sender identity or headers, or continue to contact recipients who have opted out;
- Upload or transmit malware, infringe intellectual-property rights, or transmit content that is unlawful, defamatory, or deceptive;
- Probe, scan, overload, or disrupt the Service or its public endpoints, or access another organization's data;
- Resell, sublicense, or provide the Service to third parties except as your plan expressly allows, or reverse engineer the Service except where permitted by law;
- Use the Service to build a competing product.
Feature-specific responsibilities
- Website visitor tracking ("Signal"): if you embed the tracking script on your website, you are responsible for your own privacy notices and for obtaining any visitor consents required in your jurisdictions.
- Calling and recordings: if you use AI or manual calling features that record or transcribe calls, you are responsible for caller disclosures and consent required by applicable call-recording and telemarketing laws.
- Data enrichment: you are responsible for your lawful use of enrichment and research data obtained through configured providers, including honoring data-subject rights.
- Public pages: content you expose through public booking pages and supplier portals is your responsibility.
We may suspend or restrict accounts or organizations that violate this section (see Suspension and Termination).
6. Third-Party Services and Integrations
The Service can connect to third-party services you choose — for example Google Calendar, LinkedIn, Meta (Facebook/Instagram), GitHub, enrichment providers, and email sending domains. Your use of each third-party service is governed by that provider's own terms and policies, and you are responsible for complying with them (including platform rules on automation and posting). We are not responsible for third-party services, their availability, or changes to their APIs. Where you supply your own API keys, you are responsible for having the right to use them; we store them encrypted. Disconnecting an integration stops the related functionality.
7. AI Features
The Service includes AI-generated content and analysis (drafts, research summaries, scores, generated websites, AI calls, and assistants). AI output may be inaccurate, incomplete, or inappropriate for your purpose. You are responsible for reviewing AI output before relying on it or communicating it to anyone, including emails, social posts, calls, and websites generated or sent on your behalf. AI features are metered and may be subject to plan quotas. AI output is provided "as is" and does not constitute professional advice.
8. Fees and Payment
Paid plans are billed through our payment processor (Stripe) on the billing cycle shown at purchase. Fees are non-refundable except where required by applicable law. We may change pricing with notice effective at your next renewal. Usage-based features (for example, AI usage) may be subject to quotas or overage charges shown in your plan. Taxes are your responsibility where applicable. Free trials, where offered, are subject to the terms stated at signup.
9. Suspension and Termination
You may cancel at any time from your account settings; cancellation takes effect at the end of your current billing period with no further charges.
We may suspend an organization or user for material breach of these Terms, for security risks, for non-payment, or where required by law. Where practical, we will notify you and give you an opportunity to cure before suspension.
Upon termination, your right to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which it will be deleted per the retention terms in the Privacy Policy.
10. Intellectual Property and Feedback
We and our licensors own the Service, including its software, design, and documentation. These Terms grant no rights in the Service except the limited right to use it. If you send us feedback or suggestions, we may use them without restriction or obligation. Output your organization creates with the Service (for example, generated website code committed to your repositories) is part of your Customer Data, subject to the terms of any third-party models or services involved.
11. Confidentiality
Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors bound by confidentiality obligations, or as required by law with notice where lawful.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR BREACH OF THE ACCEPTABLE USE SECTION, OR EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOUR ORGANIZATION FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
14. Indemnification
Your organization will defend and indemnify Captivix against third-party claims arising from Customer Data, your organization's use of the Service in violation of these Terms or applicable law (including anti-spam, telemarketing, call-recording, and data-protection laws), or your organization's products and services.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, USA, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Cook County, Illinois, and each party consents to the exclusive jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date; for material changes we will provide reasonable advance notice (for example, by email or in-product notice). Continued use of the Service after the effective date constitutes acceptance.
